1. Introduction

Welcome to Laioutr ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website (www.laioutr.com), our SaaS platform, and all related services, applications, and content (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, you may not use the Services.

2. Eligibility and Account Registration

To use certain parts of the Services, you must register an account. You agree to provide accurate and complete information and to keep your credentials secure. You are responsible for all activity under your account. This responsibility for all activity under your account expressly includes the actions of authorized third parties within the meaning of Section 6. You must be at least 18 years old or otherwise legally competent under applicable law to enter into a binding contract.

3. Use of the Services

You may use the Services only in accordance with these Terms and all applicable laws. You agree not to:

  • copy, modify, reverse engineer, or distribute any part of the Services;

  • use the Services to transmit malicious code, spam, or unlawful content;

  • impair or disrupt the integrity or performance of the Services;

  • use the Services for the purpose of developing a competing product or service;

  • deploy or operate an implementation that knowingly or negligently causes excessive or avoidable consumption of the infrastructure managed by Laioutr.

We reserve the right to suspend or terminate access to the Services in the event of a breach of these Terms.

4. Intellectual Property

All content, design elements, software, and trademarks within the Services are owned by Laioutr GmbH or its licensors. You are granted a limited, non-exclusive, non-transferable right of use solely for your internal business or private purposes. These Terms do not transfer any rights or ownership interests in Laioutr's intellectual property.

5. Subscription and Payment

Access to certain features of Laioutr may require a paid subscription. By entering into a subscription, you authorize Laioutr to charge recurring fees to your chosen payment method via our payment service provider (e.g., Stripe) in accordance with the plan you have selected. All fees are non-refundable unless otherwise required by law. Laioutr may change prices with reasonable prior notice. Certain usage may trigger additional pass-through infrastructure costs, which are governed by Section 6.

6. Third-Party Implementations, Authorized Developers, and Pass-Through Infrastructure Costs

6.1 Definitions.

  • "Authorized Third Party" means any implementation partner, agency, freelancer, developer, or other person or entity that accesses, configures, develops on, deploys to, or otherwise interacts with the Services on your behalf, whether engaged directly by you or by a party acting on your instructions.

  • "Customer Implementation" means any code, configuration, integration, section, block, theme, script, asset, connector, or deployment that is created, modified, or commissioned by you or an authorized third party, as opposed to the services provided by Laioutr as part of the standard Services.

  • "Pass-Through Infrastructure Costs" means third-party costs for hosting, delivery, compute, bandwidth, storage, function execution, image optimization, or comparable usage-based charges (by way of example, but not limited to: charges from our hosting or CDN providers) that are billed to Laioutr and are attributable to your account or environment.

6.2 Responsibility for Authorized Third Parties. You are responsible for all activity under your account, including all acts and omissions of authorized third parties as if they were your own (in line with Section 2). Engaging an authorized third party does not reduce your obligations under these Terms. Laioutr is not a party to any agreement between you and an authorized third party and assumes no responsibility for it.

6.3 Quality and Risk of Customer Implementations. Customer implementations are provided, commissioned, and maintained at your own risk. Laioutr does not review, test, warrant, or take responsibility for the correctness, performance, efficiency, or cost behavior of any customer implementation; this also applies to implementations that transmit, embed, proxy, preload, or deliver media or video content, or that route traffic or requests through the infrastructure managed by Laioutr. You are responsible for ensuring that every customer implementation is technically sound and does not generate avoidable or excessive infrastructure consumption.

6.4 Reimbursement of Pass-Through Infrastructure Costs. If a customer implementation causes pass-through infrastructure costs that exceed the usage included in your plan, and these costs were not agreed with Laioutr in advance, you will reimburse Laioutr for the documented excess amount. This applies regardless of whether the underlying implementation was carried out by you or by an authorized third party acting on your behalf, and regardless of whether the excess amount results from a faulty, inefficient, or unintended implementation.

6.5 Notice, Documentation, and Mitigation. Before invoicing an amount under Section 6.4, Laioutr will (a) inform you of the excess amount and its likely cause and (b) provide reasonable documentation of the attributable costs. Laioutr will make reasonable efforts to alert you to abnormal consumption, insofar as Laioutr becomes aware of it; however, monitoring such consumption remains your responsibility, and any failure by Laioutr to detect or notify it does not release you from your obligation to reimburse. Following prior notice, Laioutr may take proportionate technical measures to contain ongoing excessive consumption (including throttling or temporarily suspending the affected customer implementation) in order to limit further costs.

6.6 Invoicing. Amounts under Section 6.4 are invoiced separately from the recurring subscription fees and are due within the period stated on the invoice. Such amounts are additional to the fees referred to in Section 5 and are not covered by them.

6.7 Relationship to the Limitation of Liability. The reimbursement obligation in this Section 6 concerns costs that you cause to Laioutr and is independent of the limitation of liability in Section 9, which limits Laioutr's liability toward you; it is not subject to that limitation. Nothing in this Section 6 limits any claims you may have against an authorized third party.

7. Termination

You may terminate your account at any time via your user dashboard or by contacting us at info@laioutr.com. Laioutr may suspend or terminate your access to the Services if you breach these Terms, misuse the platform, or cause harm to other users or our infrastructure. Upon termination, your right to access the Services ends immediately, and we may delete or deactivate your account and its associated data, subject to statutory retention obligations.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranty of any kind, express or implied. Laioutr GmbH does not warrant that the Services will be uninterrupted, error-free, secure, or meet your expectations. Use of the Services is at your own risk.

9. Limitation of Liability

To the extent permitted by law, Laioutr GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services. In any event, Laioutr's total liability shall not exceed the amount you have paid to Laioutr in the twelve (12) months preceding the event giving rise to liability.

10. Data Protection

We process personal data in accordance with applicable data protection laws, including the GDPR. For details on how we collect, use, and store your data, please see our Privacy Policy.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Berlin, Germany.

12. Changes to the Terms

We may update these Terms from time to time. The current version is always available on our website. By continuing to use the Services after changes take effect, you agree to the amended Terms.
